Terms of Service
1. Who operates the service
This platform is operated as DasticOS (Dastiocos). Our registered address is Port Harcourt, Rivers State. You can reach us using the details in section 12.
2. The service, and who it is for
The service is school management software: the records, registers, results, fees, communications and tools a school uses to run its daily operations. It is provided to schools and to the users those schools authorise - their administrators, staff, pupils and the parents or guardians linked to pupils. A school enters into these terms; its users use the service through the school's account.
To use the service, a school must be a real, operating school and must be able to enter into a binding contract. The platform may ask a school to confirm its identity and the authority of the person accepting these terms.
3. Subscriptions & plans
The service is offered on plans that differ in member capacity and in which features are available. The plan assigned to a school sets the maximum number of students and staff accounts it may hold, and which modules (attendance, CBT, fees, library, and so on) are switched on for it.
- A school may only use the features its plan includes.
- If a school's records grow beyond its plan's capacity, the school must move to a plan that accommodates them, or archive or transfer the excess records.
- The platform may change the plans on offer, but a change will not remove a feature a school is already using unless the plan is changed to one that does not include it.
4. The school's obligations
The school is responsible for how it uses the service, and in particular for the data it holds:
- It is the data controller for its pupils', guardians' and staff records, and must collect and use that data lawfully - under the Nigeria Data Protection Act 2023 and any other applicable law.
- It must obtain the right consent to hold a child's data - typically the consent of a parent or guardian, or another lawful basis available to it as an educational institution. The platform cannot give this consent on the school's behalf.
- It must keep its records accurate and up to date, and must ensure the people it enters into the system are genuinely part of its school.
- It controls its own users: it must issue login details only to its own staff, pupils and guardians, remove access from people who leave, and make sure each user only sees what their role permits.
- It must not misuse the platform to do anything unlawful, or to collect data it has no right to collect.
The school remains responsible for its use of the service even where a member of its staff enters data on its behalf.
5. Data processing & ownership
This section sits alongside the Privacy & Data Protection notice:
- Who processes what. The school is the data controller for its records; DasticOS processes them on the school's instructions as its data processor, storing them and making them available to the school's own authorised users.
- Who owns the data. The records belong to the school and to the people they are about. The platform does not own them and does not use them for its own purposes beyond providing the service (for example, keeping the service secure and working).
- Sub-processors. The platform relies on outside providers - for example hosting and email delivery - which act on its instructions. These are listed in the privacy notice; a school can ask for the current list at any time.
- On leaving. When a school ends its subscription, or asks for its data to be removed, the platform will make the records available for export and will then delete or anonymise them within a reasonable period, except where the law requires some records to be kept.
- Security. The platform applies the safeguards described in the privacy notice, including keeping each school's data isolated from every other school's.
6. Payment & billing
A school pays for its subscription on the terms agreed when it subscribes - the plan, the price, the billing period and the payment method. Unless stated otherwise:
- Fees are payable in advance for each billing period.
- If a fee is not paid when due, the platform may suspend the school's access until it is settled (see section 8).
- The platform may change prices for a new billing period, and will give reasonable notice before a change takes effect.
7. Acceptable use
A school and its users will not, in connection with the service:
- use it to break any law, or to store or send anything unlawful, defamatory or that infringes someone's rights;
- attempt to access another school's data, or data they are not entitled to see;
- attempt to probe, disrupt or gain unauthorised access to the service or its systems;
- resell, sub-license or provide the service to anyone who is not part of the school; or
- use it in a way that harms the platform's security or other schools' use of it.
8. Suspension & termination
The platform may suspend or end a school's access to the service where:
- the school is in breach of these terms and does not put it right within a reasonable period after notice;
- the school is in serious breach (for example, misuse under section 7), where immediate suspension is reasonable;
- the school's subscription is not paid when due; or
- the school's use of the service poses a risk to the platform, its other schools or the data held on it.
A school may end its subscription at any time with reasonable notice. On any end of subscription, section 5 (data ownership and removal) applies.
9. Liability
The platform provides the service as described in these terms. It does not promise that the service will be uninterrupted or error-free, and it is not a substitute for a school's own professional, legal or regulatory duties - in particular a school's duties as a data controller.
To the extent the law allows, the platform's total liability arising out of or in connection with the service is limited to the amounts the school paid for the service in the twelve months before the claim, and the platform is not liable for indirect or consequential loss, loss of profit, or loss of data that the school could have exported or backed up itself. Nothing in these terms limits liability that cannot be limited by law (for example, for fraud or for death or personal injury caused by negligence).
10. Governing law & disputes
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction over any dispute arising out of them. The parties will first try to resolve any dispute amicably before resorting to court.
11. Changes to these terms
The platform may update these terms as the service or the law changes. The "last updated" date at the top always reflects the current version. For changes that materially affect a school, the platform will give reasonable notice, and continuing to use the service after the change takes effect is acceptance of the new terms.
